1. Agreement to Terms

By using HeartChain Labs services (HeartBadge memberships, HeartBeat ecosystem, and related products), you agree to these terms. If you don't agree, please don't use our services.

2. HeartBadge Membership

HeartBadge is a lifetime membership that gives you access to the HeartBeat ecosystem. Your membership is personal and non-transferable.

Purchases: We process payments through Stripe. The first 5,555 memberships are "Founders Edition" and may include special benefits.

Refunds: You have 24 hours to request a refund if your order hasn't been activated. After that, sales are final. See our Refund Policy for details.

3. HeartBeat Wallet & $HRTB Tokens

The HeartBeat Wallet lets you earn and spend $HRTB tokens in the HeartBeat ecosystem. You control your wallet and private keys—we don't have access to them.

$HRTB: A utility token (not an investment or security) for the HeartBeat ecosystem. Earn by participating, spend at vendors. Rewards have two modes: instant spending within the ecosystem and time-locked withdrawals to external wallets.

Compliance: We operate under FinCEN guidance for self-custody wallets. We are not a money transmitter—you maintain full custody of your funds.

4. Payment Processing

4.1 Stripe Integration

All payment processing is handled by Stripe, Inc. ("Stripe"). By making a purchase through our Services, you agree to be bound by Stripe's Services Agreement (available at https://stripe.com/legal/ssa) and Stripe's Privacy Policy (available at https://stripe.com/privacy).

4.2 Payment Information

We do not store your payment card information. All payment information is collected, processed, and stored by Stripe in accordance with their PCI DSS compliance standards.

4.3 Billing and Charges

You authorize us to charge your selected payment method for all purchases you make through our Services. You are responsible for maintaining accurate billing information and promptly updating any changes.

5. User Accounts and Security

5.1 Account Registration

To access certain features of our Services, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

5.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.

5.3 Wallet Security

For the HeartBeat Wallet, you are solely responsible for maintaining the security of your private keys and recovery phrases. We cannot recover lost private keys or access your wallet on your behalf. Loss of your private keys may result in permanent loss of access to your $HRTB tokens.

6. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Violating any applicable laws, regulations, or third-party rights
• Engaging in fraudulent, deceptive, or misleading activities
• Attempting to circumvent security measures or access restricted areas
• Using automated systems or bots to access or interact with the Services
• Reselling or transferring HeartBadge memberships without authorization
• Manipulating or exploiting the $HRTB reward system
• Engaging in money laundering, terrorist financing, or other illegal financial activities
• Interfering with or disrupting the Services or servers

7. Intellectual Property

7.1 Our Content

The Services and all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio, video, and software) are owned by HeartChain Labs or our licensors and are protected by copyright, trademark, patent, and other intellectual property laws.

7.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes.

8. Disclaimers and Limitation of Liability

8.1 No Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEARTCHAIN LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

8.3 Cryptocurrency Risks

You acknowledge that cryptocurrency and digital token systems involve inherent risks, including but not limited to technical failures, security vulnerabilities, regulatory changes, and market volatility. You assume all risks associated with the use of $HRTB tokens and the HeartBeat Wallet.

9. Indemnification

You agree to indemnify, defend, and hold harmless HeartChain Labs and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of another.

10. Modifications and Termination

10.1 Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the modified Terms.

10.2 Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice, for any reason including but not limited to violation of these Terms. Upon termination, your right to use the Services will immediately cease.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

11.2 Arbitration

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except as otherwise provided in these Terms.

11.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. To the full extent permitted by law, you agree that (a) no arbitration or proceeding shall be joined with any other; (b) there is no right or authority for any dispute to be arbitrated or resolved on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Services, constitute the entire agreement between you and HeartChain Labs concerning the Services.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

12.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
